The Cigna Group Encore - Office of the Corporate Secretary in Albany, New York

Please note: This is an ENCORE requisition. You must be a retired Cigna Group employee to be eligible.

Board Process Support

  • Provide support to the Corporate Secretary and Deputy Corporate Secretary on an as needed basis.

  • Provide backup support to the OCS paralegals on various governance matters such as: drafting board and committee meeting agendas, shell minutes, resolutions, and other meeting briefing materials.

  • Provide backup support to the OCS paralegals on director and officer regulatory filings, D&O questionnaires, NAIC biographical affidavits.

Records Management Support (as needed)

  • Work with attorneys, paralegals and consultants to utilize best practices regarding governance and recordkeeping functions.

  • Support the review and maintenance of company records on shared drives and/or in minute books. Make records available for audit using the secure board portal.

  • Support the maintenance of required corporate governance information on the external website.

  • Support the documentation and memorialization of OCS processes.

  • Based on availability and historic company knowledge, provide assistance to attorneys and paralegals as they manage other aspects of the entity management process for the parent company and U.S. and international subsidiaries.

  • Support training of paralegals on entity management processes as needed.

Qualifications:

  • 10+ years of Paralegal experience supporting governance and other matters for a large regulated public company.

  • Strong knowledge of public company and subsidiary company corporate governance including drafting of minutes and resolutions.

  • Demonstrated expertise in advising management on recordkeeping and document maintenance and preservation matters.

  • Ability to proactively identify issues and provide strategic advice.

  • Ability to efficiently and effectively manage complex and high-profile issues and competing priorities.

  • Excellent written and verbal communication skills.

  • Must be a retire Cigna Group employee

If you will be working at home occasionally or permanently, the internet connection must be obtained through a cable broadband or fiber optic internet service provider with speeds of at least 10Mbps download/5Mbps upload.
