The key purpose of the role is to provide strategic guidance and commercial legal support to the Software Solutions business, including leading complex and high value business deals with customers and channel partners (as applicable).
In particular, the role will provide commercially minded legal advice to the business in winning new opportunities within a highly competitive market, timely and solution-oriented guidance in managing existing customer relationships, and leadership on legal initiatives and compliance matters.
Responsibilities:
A strong team player with a proactive approach. Able to work autonomously with the ability to absorb information quickly in a fast-paced and dynamic environment. Demonstrate strong contract negotiation skills. Experience in drafting, negotiating and managing software-based (e.g. Software as a Service) and other technology-related agreements. Able to support multiple and diverse stakeholders by:
Working alongside business representatives to lead in structuring, drafting and negotiating complex customer deals particularly for software as a service and professional services in the UK, Germany, France and the US
Advising on complex legal implications of customer requirements and commercial issues, in both a legal and non-legal context, including risk assessment and mitigation strategies
Providing legal support to the business when responding to bids and tenders
Providing ad hoc support and advice on a range of matters arising in the course of business
Supporting a functional area, for example advising on specific topical issues and assisting with key business initiatives
Providing legal advice to functional area when launching new services
Supporting and advising one or more functional organizations within the company to assure the integrity of the company’s programs and ensure regulatory compliance
Providing support and advice on data privacy issues to other functions within the company
Drafting and creating common forms and precedents including contracts for which there are no existing templates and that require significant creativity for new solutions, SaaS offerings and go to market models.
Creating smart, practical solutions to business issues
Keeping up to date with legislative changes and provides training to sales teams and the global legal team
Ensuring proper due diligence and compliance with corporate policies and applicable laws
Qualifications:
We are looking for a UK Qualified lawyer. During employment, must meet requirements for continuing licensure for law practice and you will also bring 5+ years of solid experience in commercial and contracts law
Key Skills and Competencies:
SaaS, software and technology commercial transaction experience required
In-house experience desirable
Knowledge of data protection law desirable
A business-oriented pragmatic approach to legal support, providing timely and commercially minded advice
Language skills (particularly German or French) advantageous
Possess excellent drafting skills, strong attention to detail
Demonstrating strong communication, collaboration and project management skills to navigate and close negotiations in a timely manner
Able to work collaboratively in a diverse, multi-layered, international team of legal and other professionals
Able to manage multiple demands and priorities to meet demanding deadlines
